These Marketplace Terms apply in addition to the CFOTechStack Terms of Service. In the event of a conflict, these Marketplace Terms control for marketplace-related activities.

1. Overview & Scope

The CFOTechStack Vendor Marketplace ("Marketplace") is a directory and matching platform that connects CFOs and finance leaders ("Users" or "CFOs") with financial services vendors ("Vendors"). These terms govern all parties who access or use the Marketplace, whether as a Vendor listing their services or a User discovering vendors.

The Marketplace is operated by Steeled Inc., a Delaware Corporation ("CFOTechStack," "we," "us," or "our"). By accessing the Marketplace, you agree to these terms.

2. Revenue Model Disclosure

How CFOTechStack Makes Money from the Marketplace: CFOTechStack generates revenue from vendor subscription fees ($399–$1,499/month) and premium reports ($149–$249). We do NOT receive referral commissions, lead fees, transaction-based payments, or any form of compensation tied to whether a CFO selects or purchases from a vendor.

Vendors pay a flat monthly fee regardless of leads received or deals closed. This model is designed to eliminate conflicts of interest in our recommendations.

Tier pricing as of the effective date of these terms:

  • Basic: $399/month — standard directory listing, vendor profile, view analytics
  • Premium: $799/month — enhanced listing, search analytics, match score visibility, lead notifications
  • Spotlight: $1,499/month — featured placement, full analytics suite, priority matching

Pricing may change with 30 days' notice. Current pricing is displayed at checkout and on the vendor registration page.

3. No Endorsement

CFOTechStack does not verify, endorse, recommend, or certify any vendor. Vendor information is self-reported. Match scores are algorithmic outputs, not endorsements or recommendations. Appearance in search results, high match scores, or featured placement does not constitute an endorsement by CFOTechStack.

CFOTechStack does not:

  • Independently verify vendor credentials, licenses, certifications, or qualifications
  • Audit vendor financial statements, client references, or performance claims
  • Guarantee the accuracy of vendor-submitted information
  • Warrant that any vendor is suitable for your specific needs
  • Take responsibility for the quality of services delivered by any vendor

Users are responsible for conducting their own due diligence before engaging any vendor. We recommend independently verifying credentials, checking references, and consulting legal counsel before entering into vendor agreements.

4. No Investment Advice / No Broker-Dealer

4.1 Not a Broker-Dealer: CFOTechStack is NOT registered as a broker-dealer under the Securities Exchange Act of 1934 and does not facilitate securities transactions. The Marketplace does not connect users with broker-dealers, investment banks, or FINRA-registered firms for purposes of securities transactions.

4.2 Not an Investment Adviser: CFOTechStack is NOT a registered investment adviser under the Investment Advisers Act of 1940. Nothing in the Marketplace constitutes investment advice, portfolio recommendations, or a solicitation to buy or sell securities.

4.3 No Fiduciary Duty: CFOTechStack does not have a fiduciary duty to users of the Marketplace. Vendor match scores and rankings are algorithmic estimates based on self-reported compatibility data and do not constitute fiduciary recommendations.

4.4 Independent Verification Required: For any vendor that may provide services touching securities law, investment management, or regulated financial advisory services, users must independently verify that the vendor holds appropriate licenses and registrations (e.g., RIA registration, CPA license, state accounting license) before engaging their services.

5. Vendor Terms — General

By submitting a vendor application and listing on the Marketplace, the Vendor agrees to all terms in this section. These terms are in addition to the general CFOTechStack Terms of Service.

6. Listing Agreement Terms

6.1 Billing Cycle

Vendor subscriptions are billed monthly. Your subscription tier is selected during registration. The first billing occurs upon payment at the end of the registration flow. Subsequent charges occur on the monthly anniversary of your initial payment date.

6.2 Auto-Renewal

Subscriptions auto-renew monthly unless cancelled. Cancellation is effective at the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.

6.3 Tier Changes

Vendors may upgrade their tier at any time; upgrades take effect immediately. Downgrades take effect at the next billing cycle. Tier changes are processed through the vendor dashboard.

6.4 Billing Disputes

Billing disputes must be submitted within 30 days of the charge to cfotechstack@polsia.app. CFOTechStack reserves the right to determine the outcome of billing disputes.

7. Self-Reported Information & Vendor Responsibility

All vendor profile information — including but not limited to service descriptions, credentials, certifications, client counts, pricing ranges, industry expertise, and case studies — is self-reported by the vendor. CFOTechStack does not independently verify this information.

Vendors represent and warrant that:

  • All submitted information is accurate, truthful, and not misleading at the time of submission
  • They hold any licenses, certifications, or credentials represented in their profile
  • They will promptly update their profile when information becomes outdated or inaccurate
  • Case studies and client references are factually accurate and do not misrepresent outcomes
  • Pricing ranges and service descriptions reflect actual offerings

Vendors are solely responsible for the accuracy of their self-reported information. CFOTechStack disclaims all liability for damages arising from inaccurate or misleading vendor information.

8. Review Policy

8.1 Unmoderated Reviews

Reviews on the Marketplace are submitted by self-identified users and are not editorially moderated by CFOTechStack prior to publication. CFOTechStack does not verify reviewer identity, employment, or their claimed relationship to the vendor being reviewed.

8.2 No Removal of Negative Reviews

CFOTechStack will not remove negative reviews at a vendor's request simply because the review is unfavorable. Reviews may only be removed if they violate the prohibited content policy in Section 8.4.

8.3 Vendor Response Rights

Vendors may respond to reviews through their dashboard. Responses are visible alongside the original review. Vendor responses must comply with the same prohibited content policy.

8.4 Prohibited Review Content

Reviews and vendor responses may not contain:

  • Demonstrably false factual claims
  • Defamatory content
  • Personal identifying information of individuals
  • Hate speech, harassment, or threats
  • Solicitation or promotional content
  • Content submitted by the vendor or their affiliates about their own listing

CFOTechStack reserves the right to remove reviews or responses that violate this policy at its sole discretion.

8.5 Reviewer Incentives

Vendors may not offer incentives (monetary or otherwise) in exchange for reviews. Incentivized reviews violate FTC guidelines and will result in review removal and potential account suspension.

9. Prohibited Practices

The following are strictly prohibited and may result in immediate account termination without refund:

  • Fake reviews: Submitting, soliciting, or facilitating reviews from non-clients, employees, affiliates, or any party with a conflict of interest
  • Review manipulation: Offering incentives for positive reviews, discouraging negative reviews, or attempting to suppress legitimate reviewer feedback
  • Misleading claims: Making claims in your profile that are false, unsubstantiated, or designed to deceive CFOs about your capabilities or experience
  • Credential fabrication: Representing credentials, certifications, licenses, or professional affiliations that you do not hold
  • Client misrepresentation: Claiming client relationships, engagements, or outcomes that are materially inaccurate
  • Competitor disparagement: Making false or misleading statements about competing vendors
  • Spam or unsolicited outreach: Using lead notification data to send unsolicited commercial messages beyond the specific inquiry
  • Profile scraping: Using automated means to collect data from other vendor profiles

10. Removal & Termination

10.1 Vendor-Initiated Termination

Vendors may cancel their listing at any time by providing notice through the vendor dashboard or by emailing cfotechstack@polsia.app. Cancellation is effective at the end of the current billing cycle. The vendor profile will remain visible until the end of the paid period.

10.2 CFOTechStack-Initiated Removal

CFOTechStack may remove a vendor listing immediately and without refund for any of the following:

  • Fraud or material misrepresentation in the vendor profile
  • Violation of any prohibited practice listed in Section 9
  • Illegal activity, including unlicensed provision of regulated services
  • Conduct that CFOTechStack determines, in its sole discretion, is harmful to the Marketplace or its users
  • Non-payment of subscription fees
  • Repeated or uncorrected inaccuracies in vendor-submitted information following notice

10.3 Effect of Termination

Upon termination, vendor profile data will be removed from public view within 30 days. CFOTechStack may retain anonymized data for aggregated analytics. Reviews of the vendor may remain visible in aggregated or anonymized form.

11. Vendor Data Handling

CFOTechStack collects the following data from vendors:

  • Profile information submitted during registration and profile management
  • Profile view counts and engagement metrics (used to provide analytics to Premium and Spotlight vendors)
  • Inquiry and contact request data from CFOs who submit inquiries through the platform
  • Billing information (processed and stored by Stripe; CFOTechStack does not store payment card data)
  • Login and access logs for security purposes

Vendor data is handled in accordance with the CFOTechStack Privacy Policy. Vendor profile information submitted for public display is visible to all Marketplace users.

12. Intellectual Property

12.1 Vendor Content Ownership

Vendors retain ownership of all content submitted to the Marketplace, including profile descriptions, case studies, logos, and supporting materials ("Vendor Content").

12.2 License to CFOTechStack

By submitting Vendor Content, you grant CFOTechStack a non-exclusive, worldwide, royalty-free license to display, distribute, and use the Vendor Content for the purpose of operating the Marketplace, including displaying your profile to users, including your profile in search results and matching outputs, and featuring your listing in promotional materials for the Marketplace.

12.3 Revocation

This license terminates upon cancellation of your listing, subject to reasonable wind-down periods for cached content and marketing materials.

12.4 Platform IP

CFOTechStack retains all rights to the Marketplace platform, matching algorithms, ranking systems, and platform design. Nothing in these terms transfers any ownership of platform IP to vendors.

13. CFO / User Terms

This section applies to CFOs, finance leaders, and other users who access the Marketplace to discover or evaluate vendors.

13.1 Informational Purpose

The Marketplace is an informational directory only. Vendor listings, match scores, and comparison tools are provided to assist in your research process. They are not endorsements, recommendations, or guarantees of vendor quality or suitability.

13.2 Due Diligence Responsibility

You are solely responsible for evaluating vendors, verifying credentials, conducting reference checks, and making your own purchasing decisions. CFOTechStack is not a party to any agreement you enter into with a vendor and is not liable for the outcome of any vendor engagement.

13.3 Inquiry Data

When you submit an inquiry to a vendor through the Marketplace, your contact information (name, email, company, and inquiry details) will be shared with the vendor to whom you submitted the inquiry. By submitting an inquiry, you consent to this data sharing.

14. Reviewer Requirements

To submit a vendor review, you must:

  • Be an actual current or former client of the vendor being reviewed, or have directly evaluated the vendor in a professional capacity
  • Provide an honest assessment based on your genuine experience
  • Not have a material conflict of interest (e.g., you are an employee, investor, or competitor of the vendor)
  • Comply with the prohibited review content policy in Section 8.4

By submitting a review, you represent that you meet these requirements. False reviews may be removed and may constitute a violation of these Terms.

15. User Data & Lead Notification Opt-Out

15.1 Lead Notifications

If you submit an inquiry through the Marketplace, the relevant vendor will receive a lead notification containing your contact information and inquiry details. This notification is a one-time data share tied to your specific inquiry.

15.2 Opt-Out Rights

You may opt out of lead notification data sharing at any time by:

  • Adjusting your preferences in your account settings (if you have a CFOTechStack account)
  • Emailing cfotechstack@polsia.app with your opt-out request

Note: Opt-out applies to future inquiries. Data already shared with vendors at the time of a prior inquiry cannot be recalled.

15.3 Anonymous Browse

You may browse and search vendor listings without creating an account or submitting any contact information. No personally identifiable information is collected from anonymous browse sessions beyond standard web analytics (IP address, browser type, page views).

16. Liability Limitations

Marketplace Liability Cap: CFOTechStack's total liability arising from or related to the Marketplace shall not exceed the greater of (a) subscription fees paid by the relevant party in the preceding 12 months or (b) $100. This cap applies to all claims, including claims for negligence, breach of contract, misrepresentation, and any other legal theory.

CFOTechStack is not liable for: (i) the quality, accuracy, or legality of vendor services; (ii) the outcome of any vendor engagement; (iii) disputes between vendors and users; (iv) reliance on match scores, rankings, or algorithmic outputs; or (v) inaccurate or misleading vendor self-reported information.

These limitations apply to the maximum extent permitted by applicable law.

17. Governing Law

These Marketplace Terms are governed by Delaware law. Disputes arising under these Marketplace Terms are subject to the dispute resolution and arbitration provisions in the CFOTechStack Terms of Service, Section 13. San Diego County, California is the exclusive venue for any proceedings not subject to arbitration.
